With respect to your access and use of the KidsSoup Sites, KidsSoup provides its services to you, subject to the following Terms of Use (TOU), which may be updated from time to time by KidsSoup without notice to you. By using any of the KidsSoup Sites, you signify your agreement to this Terms of Use.

In addition, when using particular KidsSoup Sites or services, you and KidsSoup shall be subject to any guidelines, rules, or Terms of Use applicable to such sites or services that may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into these TOU. In the event that any of the terms, conditions, and notices contained herein conflict with such guidelines or rules, then these terms shall control.

You agree to be bound by these TOU, and you indicate such agreement by your use of any of the KidsSoup Sites.

1. Licensing. Your subscription to any of the KidsSoup Sites does not constitute the purchase of the materials on the site. Your subscription constitutes a license to use the materials on the KidsSoup site as long as the subscription is in effect. If for any reason the subscription is terminated, you may no longer use these materials, as the license to use the materials is no longer in effect. If the subscription is terminated, all materials printed or downloaded from the KidsSoup site must be destroyed immediately.

Licenses to use a particular KidsSoup Site are available in the form of single user or multi-user school licenses. For single user licenses, the materials printed from the KidsSoup site may be duplicated for use in a home or in a single classroom and may be sent home with students enrolled in that specific classroom. The materials may not be shared with colleagues or friends, or used throughout an entire school or school district, unless each classroom teacher within such school or school district has obtained a subscription to the KidsSoup site. For multiple user licenses, the materials printed from the KidsSoup site may be duplicated for use only in the number of classrooms corresponding to the number of users in the license and may be sent home with students enrolled in those specific classrooms. The materials may not be shared with colleagues or friends, or used throughout an entire school or school district, unless each classroom teacher within such school or school district has obtained a subscription to the KidsSoup site.

2. Term; Recurring Fees; Billing. If you purchase a subscription to a KidsSoup site, such as KidsSoup.com or ABCTwiggles.com, the initial term of the subscription shall commence on the date it is purchased and continue until one year from the day the subscription was purchased. Each subscription will automatically renew (therein referred to as 'Automatic Renewal Program') each year for additional one-year periods commencing on the day of the 1 year anniversary of the day in which the subscription was purchased unless (i) you cancel the automatic renewal payment; or (ii) your subscription is cancelled or (iii) we terminate your subscription.

Renewal subscription fees will be billed annually and automatically charged to your credit card in the amount of the then current subscription fee, 14 calendar days prior to the first day in which your current subscription term expires. Occasionally, we might offer incentives for renewing memberships at a discounted price.

3. Cancellation; Termination; Expiration. If you purchase a subscription to any KidsSoup site, such as ABCTwiggles.com or KidsSoup.com,

(a) You have the right to cancel your Membership at any time.  There are no refunds for cancellation of a membership. If a membership is renewed as part of the Automatic Renewal Program, you will only be entitled to a refund of your Membership fee if you cancel during the first ten (10) days of your renewal Membership term. You can cancel your Membership by (i) contacting us via email at customerservice@kidssoup.com.

(b) We may terminate your Membership, including any associated accounts, without notice, for any reason in our sole discretion, including without limitation our belief that continued use of such Membership would violate any provisions of this Agreement, applicable law, interfere with the technological operation of this site or, or be harmful to our interests in any way. In the event of any such termination, you will be entitled to a pro rata refund of your Membership fee.

c) Upon cancelation, termination, or expiration of your membership you must destroy all materials obtained from the KidsSoup Site whether made under the terms of this Agreement or otherwise. Failure to do so will constitute an unlawful and unfair business practice which could result in KidsSoup obtaining any injunctive or equitable relief that KidsSoup deems necessary or appropriate.
