AGREEMENT BETWEEN USER AND KIDSSOUP, INC.

Welcome to KidsSoup! KidsSoup.com, ABCTwiggles.com, and StoryTwiggles.com comprise a set of Web sites and services operated by KidsSoup, Inc., as well as other Web sites like TwiggleMagazine.com, EarTwiggles.com, Preschoolactivitybox.com, Fathersdaycraftbox.com, and Halloweenpartybox.com (collectively referred to hereafter as "KidsSoup Sites" or "KidsSoup Site").

The following are trademarks or service marks of KidsSoup, Inc.: KidsSoup, KidsSoup.com, EarTwiggles, ABC Twiggles, ABCTwiggles.com, Story Twiggles, and StoryTwiggles.com. The names of actual companies and products listed on the KidsSoup Sites may be the trademarks of their respective owners.

With respect to your access and use of the KidsSoup Sites, KidsSoup provides its services to you, subject to the following Terms of Use (TOU), which may be updated from time to time by KidsSoup without notice to you. By using any of the KidsSoup Sites, you signify your agreement to this Terms of Use.

In addition, when using particular KidsSoup Sites or services, you and KidsSoup shall be subject to any guidelines, rules, or Terms of Use applicable to such sites or services that may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into these TOU. In the event that any of the terms, conditions, and notices contained herein conflict with such guidelines or rules, then these terms shall control.

You agree to be bound by these TOU, and you indicate such agreement by your use of any of the KidsSoup Sites.

1. Licensing. A membership to a KidsSoup Site grants you a limited, non-exclusive, non-transferable license to access, download, print, and use the materials available through the KidsSoup Site in accordance with these Terms of Use. Your membership does not transfer ownership of any materials, content, or intellectual property to you.

All materials available through the KidsSoup Sites remain the property of KidsSoup and/or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

Unless otherwise specified, memberships are intended for a single user. Materials obtained through a single-user membership may be used in a home, educational program, or a single classroom and may be sent home with students enrolled in that classroom. Materials may not be shared with colleagues, friends, other classrooms, schools, organizations, or third parties without the prior written consent of KidsSoup.

Where offered, multi-user or school licenses permit use only by the number of users or classrooms covered by the applicable license. Materials may not be used beyond the scope of the purchased license.

Membership expiration or termination ends your access to member-only areas of the KidsSoup Sites. However, materials lawfully downloaded during an active membership period may continue to be used in accordance with the license and usage rights granted under these Terms of Use. No ownership rights are transferred by the download or use of any materials.

2. Term.  If you purchase a membership to a KidsSoup site, such as KidsSoup.com or ABCTwiggles.com, your membership term will commence on the date of purchase and continue for the membership period selected at the time of purchase.

Memberships are sold as one-time purchases and do not automatically renew. Your membership will expire at the end of the purchased membership term unless you choose to purchase an additional membership.

Membership fees are charged in full at the time of purchase using the payment method you provide during checkout. From time to time, we may offer promotional pricing, discounts, or special offers on memberships or educational products.

3. Cancellation; Termination; Expiration. If you purchase a membership to any KidsSoup site, such as ABCTwiggles.com or KidsSoup.com,

(a) Memberships may not be canceled once purchased. Because access to the membership and educational materials is granted immediately upon purchase, all membership fees are non-refundable except where required by applicable law.

(b) We may terminate your Membership, including any associated accounts, without notice, for any reason in our sole discretion, including without limitation our belief that continued use of such Membership would violate any provision of this Agreement, applicable law, interfere with the operation of the Site, or otherwise be harmful to our interests. In the event of such termination by KidsSoup, we may, at our sole discretion, provide a full or partial refund of the membership fee.

(c) Upon termination or expiration of your Membership, your access to member-only areas of the Site and membership benefits will cease. Materials downloaded during an active membership period may continue to be used in accordance with the license and usage rights granted under this Agreement. Any use of the materials beyond the scope of those rights is prohibited.

4. Permitted Use. Unless otherwise specified herein or agreed upon by KidsSoup, the KidsSoup Sites and materials are for your personal, educational, and noncommercial use. KidsSoup retains all rights with respect to the KidsSoup Sites except those expressly granted to you in this Agreement.

The information, artwork, text, video, animation, audio, pictures, content, software, trademarks, service marks, and other intellectual property on the KidsSoup Sites are the proprietary property of KidsSoup and/or its suppliers and are protected by United States and international copyright and other intellectual property laws. If you print materials obtained from the KidsSoup Sites, you must retain any copyright notices included with the materials.

You may download, print, and use materials from the KidsSoup Sites for your own classroom, educational program, or personal educational use. You may not give, sell, share, sublicense, redistribute, post online, or otherwise make any KidsSoup materials available to any third party without the prior written consent of KidsSoup.

You may not duplicate, publish, display, modify, create derivative works from, commercially exploit, or otherwise distribute the materials or access to the materials on the KidsSoup Sites except as expressly permitted by this Agreement or authorized in writing by KidsSoup.

You agree not to frame, or assist any third party in framing, any web pages contained within the KidsSoup Sites.

5. Links to Third-Party Sites. The KidsSoup Sites may contain links to third-party websites or produce search results that reference third-party websites (collectively, “Linked Sites”). KidsSoup has no control over these Linked Sites or their content and assumes no responsibility or liability for any content, opinions, products, services, or materials available through such Linked Sites.

KidsSoup does not guarantee, represent, or warrant that the content available through any Linked Site is accurate, complete, legal, reliable, or appropriate. The inclusion of any link does not imply endorsement by KidsSoup of the Linked Site or its content.

KidsSoup does not warrant that any Linked Site will be free from viruses, malware, or other harmful code that could affect your computer or other device. By using the KidsSoup Sites to access or link to third-party websites, you acknowledge and agree that such use is entirely at your own risk.

To the fullest extent permitted by law, KidsSoup shall not be liable for any damages, losses, or claims arising from your use of, or reliance upon, any Linked Site or its content.

If you encounter a problem with a Linked Site, please contact us at customerservice@kidssoup.com. We appreciate your feedback and may investigate the link and take appropriate action at our discretion.

6. No Unlawful, Disruptive, or Prohibited Use. As a condition of your use of the KidsSoup Sites, you represent and warrant that you will not use the KidsSoup Sites for any purpose that violates any local, state, national, or international law or regulation, or that is prohibited by these Terms of Use.

You agree not to use the KidsSoup Sites in any manner that could damage, disable, overburden, impair, or interfere with the operation of the KidsSoup Sites or with any other user’s access to or enjoyment of the KidsSoup Sites.

You may not obtain, attempt to obtain, access, or collect any materials, information, data, accounts, or content through any means not intentionally made available by KidsSoup. You further agree not to engage in any activity that attempts to circumvent security measures, gain unauthorized access to any portion of the KidsSoup Sites, or interfere with the proper functioning of the KidsSoup Sites.

7. Use of Communication Services. Visitors may post reviews, comments, and other content; send other communications; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of any content. KidsSoup reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content. You may not collect or store personal data about other users.

8. Privacy and Disclosure of Information. We believe your privacy and the privacy of all our users are important. Please review our Privacy Notice, which is incorporated into these Terms of Use by reference.

If you voluntarily submit content for posting, publication, or display on any KidsSoup Site, you acknowledge that such content may be viewed by others and may not be treated as confidential. By submitting such content, you grant KidsSoup the right to use, reproduce, distribute, display, and otherwise make available the content in connection with the operation of the KidsSoup Sites.

If you are under thirteen (13) years of age, you may not post any personally identifiable information about yourself on the KidsSoup Sites without the express permission of your parent, guardian, or school.

KidsSoup reserves the right, at all times, to disclose information as necessary to comply with applicable laws, regulations, legal processes, or governmental requests, and to edit, refuse to post, or remove any information or materials, in whole or in part, at its sole discretion.

9. Ownership of Submitted Content. You retain ownership of any information, ideas, suggestions, feedback, comments, reviews, or other content that you submit to KidsSoup.

By submitting such content, you grant KidsSoup and its affiliates a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise utilize such content in any media or format for any lawful purpose related to the operation, promotion, improvement, or development of the KidsSoup Sites, products, and services, without compensation to you.

You represent and warrant that you own or otherwise control all rights necessary to submit the content and to grant the foregoing license, and that the content does not infringe upon the rights of any third party.

You agree to defend, indemnify, and hold harmless KidsSoup, its affiliates, subsidiaries, officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to any claim that content submitted by you infringes upon any copyright, trademark, patent, trade secret, privacy right, or other proprietary or intellectual property right of any third party.

10. Your Account. If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You also agree to provide true, accurate, current, and complete information about yourself, including all personal and payment information as prompted by the registration forms located in any of the KidsSoup Sites; KidsSoup does sell products for children, but it sells them to adults, who can purchase with a credit card. If you are under 18, you may use KidsSoup only with involvement of a parent or guardian. KidsSoup and its affiliates reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

11. Warranty Disclaimer. KidsSoup does not promise that the KidsSoup Sites will be error-free or uninterrupted or that the KidsSoup Sites will provide specific results from your use of any content, search, or link on them. The KidsSoup Sites and all content within them are delivered on an "AS IS" and "AS AVAILABLE" basis. KidsSoup does not warrant or represent that files you download from the KidsSoup Sites will be free of viruses, worms, trojan horses, or any other harmful code. KIDSSOUP DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU EXPRESSLY AGREE THAT USE OF THE KIDSSOUP SITES AND RELATED SERVICES IS AT YOUR SOLE RISK.

12. Limitation of Liability. UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, TORT, OR NEGLIGENCE, WILL KIDSSOUP BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) THAT ARISE OUT OF OR ARE RELATED TO YOUR USE OF THE KIDSSOUP SITES.

13. Indemnity. You agree to defend, indemnify, and hold KidsSoup and its subsidiaries, affiliates, officers, directors, agents, and employees harmless from any liability to third parties, including reasonable attorneys' fees, arising from or related to your breach of this agreement, or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

14. Access to the KidsSoup Sites. You are solely responsible for any and all costs of obtaining access to the KidsSoup Sites. Access to certain areas or materials may require the purchase of a membership, product, or other paid offering. In addition, you must provide and are responsible for all equipment necessary to access the KidsSoup Sites.

15. General. This Agreement shall be governed in all respects by the laws of the State of California without giving effect to its conflict of law provisions. Both parties submit to the personal jurisdiction of, and venue in, the state and federal courts located in San Diego County, California, and further agree that any cause of action arising under this Agreement shall be brought in such venue.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of any section.

KidsSoup’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.

This Agreement and the terms and conditions contained herein set forth the entire understanding and agreement between KidsSoup and you with respect to the subject matter hereof and supersede any prior or contemporaneous understandings, whether written or oral.

You agree that these Terms of Use and all incorporated agreements may be assigned by KidsSoup, in its sole discretion, to a third party in the event of a merger, acquisition, sale of assets, or similar business transaction.
